How we contract with clients.

The full MSA and SOW templates are in attorney review alongside LLC formation. Until they publish, here’s how every engagement actually runs — in plain English.

§ 01 · The terms in plain English

Eight things, no surprises.

  1. No. 01

    Two documents.

    Every engagement is governed by an MSA (the master agreement, signed once) and a SOW (a one-page scope, signed for each project). The SOW spells out price, milestones, and timeline.

  2. No. 02

    You own the code.

    On final payment, all custom code we write for you transfers to your ownership. We don’t hold a license back, we don’t require ongoing fees, we don’t lock anything behind a template subscription.

  3. No. 03

    Mutual NDA.

    We agree to keep your business confidential, and we ask the same in return for our methods, prices, and unreleased work. Either side can disclose what was already public or required by law.

  4. No. 04

    Payment terms.

    Productized work: 50% on signing, 50% at launch. Custom work: tied to milestones in the SOW. Net 14 on invoices. Late payment pauses the work, not the meter.

  5. No. 05

    Cancellation.

    You can stop a project at any milestone. You pay for the milestone we’re currently inside, plus any external costs we’ve already committed to on your behalf. Care plans cancel any month with no penalty.

  6. No. 06

    What we won’t do.

    We turn down work in insurance, claims, P&C, MLM, crypto, gambling, and adult content. We won’t build something we believe is unsafe or misleading to your customers.

  7. No. 07

    Liability.

    Our liability is capped at the fees paid for the engagement. We carry professional and general liability insurance. The full MSA names the limits and exceptions.

  8. No. 08

    Disputes.

    We try to resolve disputes by talking. If that fails, mediation in Sarasota County, Florida. The MSA names the governing law (Florida) and the venue.

Everything published on spirecoast.com, labs.spirecoast.com, and studios.spirecoast.com is © Spire Coast LLC unless otherwise marked. Open-source projects we publish on labs name their license inside the repo — usually MIT or Apache 2.0.

You can quote, link, and reference anything we publish here. Republishing entire essays without permission is not OK. Translating or adapting into another language without permission is not OK.

If anything we publish has factual errors, email josh@spirecoast.com and we’ll fix them and credit the correction.
